ABOUT THE ROLE

Peloton is looking for an experienced, highly motivated individual to join our corporate legal team! You will report to our VP, Associate General Counsel, Corporate and support our in-house corporate attorneys on a broad range of matters relating to board of directors and public company processes, securities law compliance, corporate transactions, legal entity management, general corporate projects, and helping to enhance legal processes and efficiencies. You will have the opportunity, and will be required, to work with Peloton’s senior management and key business partners. This role will be based out of our New York City headquarters office and will be required to comply with our hybrid policy. Currently, hybrid team members report to the office weekly on Tuesday, Wednesday and Thursday.

YOUR DAILY IMPACT AT PELOTON

  • Assist the corporate and securities team with ongoing public company matters, including proxy statement, annual meeting, annual and quarterly filings, D&O questionnaires, stock ownership records, corporate governance research, and corporate compliance calendars
  • Prepare section 16 beneficial ownership filings on Forms 3, 4 and 5 for officers and directors, and track insider trading policy pre-clearances and 10b5-1 plan activity
  • Assist with the preparation of appropriate draft documents, including agendas, corporate resolutions and meeting minutes for parent and subsidiary board of director and committee meetings
  • Support Peloton attorneys in corporate transactions and related due diligence efforts, including loan agreement and capital markets activity, acquisitions and asset dispositions
  • Help the corporate legal and cross-functional teams with on-going global subsidiary and legal entity management and governance, local filings and registrations, and coordination across internal team members and third-party service providers
  • Handle and maintain global subsidiary entity database, including repository of corporate documents, lists of directors and officers, and ongoing preparation of required compliance materials
  • Maintain sound understanding of SEC and Nasdaq public company and governance requirements
  • Research and analyze corporate governance topics and track industry precedent and trends
  • Assist with special projects as needed, including to:
    • develop team member lifecycle processes, such as team member on-boarding, training, and staffing processes to support organizational efficiencies;
    • create internal process guidelines and workflows, as requested or as opportunities for improvement arise; and
    • build playbooks, process maps, and other documents and plans to support the CLO operational infrastructure.
  • Cultivate positive relationships and feedback loops with the Legal, Tax, Finance, Equity/Compensation and senior business teams to drive efficiencies, with the ability to work in an ever-changing environment

YOU BRING TO PELOTON

  • Outstanding project management and organizational skills, with a focus on continuous process improvement and attention to detail
  • Demonstrated ability to track and analyze data to show results
  • Must be a strategic thinker who is a strong team player (no job is too small or too large) and willing to take on additional responsibilities
  • Enjoy working in a fast paced, innovative business
  • Exceptional interpersonal and communication skills
  • Self-motivated, and committed work ethic, with the ability to balance an array of tasks
  • 3+ years of paralegal experience focusing on a combination of public company governance, subsidiary/entity management, mergers and acquisitions, and securities law compliance matters at in-house legal department and/or law firm
  • Bachelor's degree preferred, and completion of ABA-approved paralegal program a plus
  • Word processing and document management capabilities, including Microsoft Office, PowerPoint, document comparison and document management systems, and communication and collaboration applications
  • Experience using Google and/or Office Suite
  • Familiarity with DocuSign, Workiva, Diligent and entity/subsidiary management and other legal department management tools is a plus

The base salary range represents the low and high end of the anticipated salary range for this position based at our New York City headquarters. The actual base salary offered for this position will depend on numerous factors including individual performance, business objectives, and if the location for the job changes. Base Salary Range
$103,200$134,200 USD
