Team Introduction In line with the globalization strategy and vision of the company, the Global Payments team builds a platform to provide cross-border payment solutions for all ByteDance's products and services, that are growing rapidly worldwide. This is an exciting opportunity to make an impact on global scale across all ByteDance's business usecases. We are seeking a highly qualified and independent director to join the Board of a BSP-regulated entity operating as an Operator of Payment Systems (OPS). The Independent Director shall provide objective oversight of governance, risk management, and regulatory compliance in accordance with the Manual of Regulations for Payment Systems (MORPS) and the Manual of Regulations for Non-Bank Financial Institutions (MORNBFI) Key Responsibilities - Act as an independent director, exercising objective judgment and maintaining independence from management, controlling shareholders and related interests and free from conflicts of interest - Serve as Chair of either the Audit Committee or the Governance, Risk and Compliance Committee, as determined by the Board, consistent with MORPS governance requirements If designated as Chair of the Audit Committee - Provide independent oversight of: - Integrity of financial reporting and disclosures - Effectiveness of internal controls over financial reporting - Internal audit function, including audit plans, findings, and management remediation - Engagement, independence, and performance of external auditors - Ensure coordination with the Governance, Risk and Compliance Committee on matters relating to internal control effectiveness, without assuming risk management or compliance ownership If designated as Chair of the Governance, Risk and Compliance Committee - Provide board-level oversight of: - Enterprise and operational risk management frameworks - Technology, cybersecurity, outsourcing, and operational resilience risks - Regulatory compliance and supervisory matters - AML CTF and end user protection frameworks - Compliance culture, escalation protocols, and risk appetite alignment - Ensure coordination with the mandatory Audit Committee on internal audit results and control issues, while maintaining clear segregation of committee responsibilities - Ensure the adequacy and effectiveness of board-approved governance frameworks, risk appetite statements, and internal control systems - Oversee compliance with Bangko Sentral ng Pilipinas (BSP) regulations applicable to OPS entities, including governance, risk, AML/CFT, technology risk, and consumer protection - Provide guidance on regulatory expectations arising from BSP examinations, supervisory communications, and industry advisories - Serve as a credible and constructive interface with the BSP, including during regulatory engagements and audits - Contribute an independent voice to board deliberations, ensuring alignment with sound governance and risk practices - Attend quarterly board meetings and committee meetings as required Time Commitment - Attendance at quarterly board meetings and scheduled committee meetings - Availability for regulatory engagements, supervisory discussions, and incident-related deliberations as required - Sufficient preparation time to discharge fiduciary duties effectively

Qualifications

Minimum Qualifications - Strong background in corporate governance, risk management, and regulatory compliance within financial services - Demonstrated familiarity with BSP regulations, particularly those relevant to: - Operators of Payment Systems - Electronic money issuers, fintechs, or other BSP-supervised institutions - Prior experience as: - An independent director or committee chair, or - A senior executive, regulator, or advisor in a BSP-regulated institution - Established professional credibility and working relationships with BSP regulators - Well-regarded within the payments, fintech, or financial services industry Preferred Qualifications - Meets BSP fit-and-proper standards and independence requirements
